These Terms of Use (the “Terms”) govern your access to and use of the NextEpochsplatform (the “Service”), operated by NextEpochs (“we”, “our”, or “us”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

NextEpochs provides a platform for commissioning and managing custom AI development projects, including AI agents, machine learning models, LLM integrations, automations, and related software. The Service includes a web application, an AI-powered requirements intake assistant (Nextia), a commission tracking dashboard, and a payment and receipt management system.

2. Access and Accounts

Access to the Service is currently invite-only. Accounts are created by NextEpochs administrators upon request or as part of an engagement. You are responsible for keeping your credentials confidential and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorized access.

3. Acceptable Use

When using the Service, you agree not to:

• Violate any applicable law or regulation
• Submit content that is unlawful, defamatory, infringing, or otherwise harmful
• Interfere with or disrupt the Service, its infrastructure, or other users
• Attempt to reverse-engineer, decompile, or otherwise extract the source code of the Service beyond what is permitted by law
• Use automated scrapers, bots, or other tools to harvest data from the Service without our prior written consent
• Abuse the Nextia AI assistant (for example, excessive or automated prompting)

4. Commissions and Deliverables

When you submit a commission request, you are asking NextEpochs to review the project and, if we choose to proceed, to prepare a quote. A commission becomes binding only when both parties accept the quote and the first payment tranche has been processed. The scope, deliverables, and timelines are governed by the commission brief and any written agreements between you and NextEpochs.

Intellectual Property of Deliverables

Unless otherwise agreed in writing, upon full payment of all tranches, the client receives a perpetual, non-exclusive license to use the delivered software and artifacts for their internal business purposes. NextEpochs retains ownership of any pre-existing libraries, tooling, frameworks, and generic building blocks used to deliver the project, as well as the right to reuse such components in future work.

5. Payments and Refunds

All fees are denominated in Euros (EUR) unless stated otherwise. Payments are split into two tranches: an upfront payment upon quote acceptance, and a final payment upon delivery. All payments are non-refundable once work has started, except in cases of material breach by NextEpochs. We issue receipts (and, where applicable, invoices) for all completed payments through the Service.

6. AI Assistant Disclaimer

The Nextia AI assistant uses third-party language models (currently OpenAI) to help structure your commission request. Nextia is a conversational intake tool — it does not provide binding quotes, fixed prices, timelines, or guarantees of feasibility. Any estimates or suggestions it produces are for reference only. Only quotes explicitly approved and sent by NextEpochs staff are binding.

7. NextEpochs Platform License

NextEpochs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. You do not acquire any ownership rights in the Service, its software, design, or related materials. All rights not expressly granted are reserved.

8. Third-Party Products

Our landing page may reference flagship products developed by NextEpochs (including NestBrain and ParseFlow). These products are governed by their own terms and privacy policies, available on their respective websites.

9. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

To the maximum extent permitted by law, NextEpochs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to or use of the Service. Our total aggregate liability for any direct damages is limited to the total amount paid by you to NextEpochs in the twelve (12) months preceding the event giving rise to the claim.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms or if we decide to discontinue the Service. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitations of liability) will remain in effect.

12. Changes to the Terms

We may revise these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and, where appropriate, notify you by email or through the Service. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of Italy, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the competent courts of Italy.
